These Terms and Conditions govern your use of the services, website, mobile application, and platform operated by PINCH, LLC.
By accessing or using the PINCH Platform, you agree to be bound by these Terms.
1. ACCEPTANCE OF TERMS AND CONDITIONS
This Agreement is a binding legal agreement between you and PINCH, LLC.
You must be at least 18 years old and have the authority to enter into this Agreement.
If you use the platform on behalf of a business, you confirm you have authority to bind that entity.
By accessing or using the PINCH Platform, including the website and mobile application, you acknowledge that you have read and agree to these Terms.
PINCH grants you a limited, non-exclusive, non-transferable revocable license to access and use the platform in accordance with these Terms.
1.1 Electronic Acceptance
By booking a job, submitting a booking request, accepting a job, or otherwise using the PINCH Platform to engage in any transaction (whether as a Client or a Provider), you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions, as they may be updated from time to time.
Such electronic actions constitute your valid and binding acceptance of this Agreement, equivalent to a handwritten signature, to the fullest extent permitted by applicable law.
1.2 Electronic Booking and Superseding Effect
By electronically booking a job, submitting a service request, or otherwise initiating any transaction through the PINCH Platform (as a Client), you acknowledge and agree that:

You have read, understood, and consent to be legally bound by these Terms and Conditions in their entirety.

These Terms and Conditions constitute the entire agreement between you and PINCH with respect to the services booked, and supersede and replace in their entirety any and all prior agreements, understandings, contracts, proposals, quotes, or communications (whether written, oral, or electronic) between you and PINCH or any of its providers relating to the same services or subject matter.
Your electronic booking action has the same legal effect as a manual signature and triggers acceptance of these Terms to the fullest extent permitted by law.
If you do not agree to these Terms, you must not book or request any services through the Platform.
PINCH grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely in accordance with these Terms.
2. PLATFORM DESCRIPTION
PINCH is a nationwide platform that facilitates, manages, and delivers cleaning and janitorial services across multiple industries.
These include multifamily, student housing, commercial office, retail, industrial, government, and other commercial environments.
PINCH acts as the primary vendor and may assign services to independent providers within its network.
3. MEMBERSHIP TIERS AND BILLING
PINCH offers the following membership tiers.

Elite, $19 per month

Partner $95 per month
Memberships are billed monthly on a recurring basis.
If a payment method fails, the account is immediately downgraded to the free Member tier.
No refunds are issued for partial billing periods.
PINCH reserves the right to modify pricing, features, membership structure, and benefits at any time with notice where required by law.
4. GRANDFATHERED SERVICES
Certain legacy services are no longer offered to new users but remain available to existing users under specific conditions.
Max and Quick Pay memberships are grandfathered.
Grandfathered users retain their pricing and features as long as payments remain current and no membership changes are made.
If a user upgrades, downgrades, or changes services, they permanently lose access to the grandfathered plan.
PINCH may require migration away from grandfathered services and will provide 30 days notice prior to any required transition.
Updated pricing for Elite membership applies to all users.
We may require all users to migrate away from grandfathered plans with at least 30 days’ prior notice.
5. FAST PAY ADD-ON
Fast Pay is an optional add-on available to eligible membership tiers.
Pricing is $50 per month.
Fast Pay accelerates provider payments based on the following.
One-time or project work is processed within 5 days of invoice date.
Routine services are paid on the 5th and 20th of each month.
Payment timing refers to when funds are sent, not when funds are received.
PINCH reserves the right to withhold payments in the event of disputes, offset or deduct future payments, and claw back funds already paid.
For student housing and similar large-scale projects, PINCH may withhold up to 10 percent of total payment until full client payment is received.
6. CUSTOMER PAYMENT
To facilitate payment for services, Users must maintain a valid payment method on file.
You authorize PINCH and its third-party payment processor, including Stripe, to charge your payment method for all services, fees, and applicable charges.
Payments may be processed upon completion of services, within 48 hours of completion, on a recurring schedule, or in advance depending on the service type.
If a dispute is raised within 48 hours, payment may be held pending resolution.
PINCH may seek payment authorization to verify available funds and prevent fraud.
Failure to maintain a valid payment method may result in suspension or termination of access.
Client payment terms, including late fees and enforcement, are governed by separate agreements where applicable.
If any legal action, arbitration, or other proceeding is brought to enforce or interpret any provision of these Terms, or to collect any amounts owed to PINCH, the prevailing party shall be entitled to recover its reasonable attorney’s fees and costs from the other party, in addition to any other relief to which it may be entitled.
7. PROVIDER PAYMENTS
Providers must maintain valid payment details to receive payouts.
Provider payments are based on membership level and service type.
Standard payout is 48 hours after PINCH receives payment from the client.
Elite and Partner payout is 22 days from invoice date.
Fast Pay payout is processed within 5 days of invoice date or based on scheduled payout cycles.
Student housing payouts are issued on the 1st and 15th of each month based on work completed in the prior period.
All payments are subject to completion verification, client approval, and dispute resolution.
PINCH may delay, withhold, deny, or recover payments if work cannot be validated or if disputes arise.
PINCH reserves the right to deduct amounts from future payments.
All ACH payments incur a $4.95 transaction fee. This fee covers ACH fees from clients and ACH fees charged by our banking provider.
8. JOB TRACKER REQUIREMENTS
Providers are required to document all work using the PINCH Job Tracker.
This includes photo documentation, video documentation, time tracking, and location verification.
All documentation must be captured within the platform.
Failure to provide required documentation may result in delayed payment, denied payment, or rejection of work.
9. DATA OWNERSHIP
All data generated through the PINCH Platform is owned exclusively by PINCH, you grant us a perpetual, irrevocable, royalty-free license to use this data for any business, legal, or operational purpose.
This includes photos, videos, job records, communication logs, and performance data.
Users waive any rights to ownership or control of this data.
PINCH may use this data for operational, legal, and business purposes.
10. USER RESTRICTIONS
Users may not copy, modify, distribute, reverse engineer, or attempt to extract source code from the platform.
Users may not bypass platform controls, interfere with security features, or misuse the platform in any way.
11. PROHIBITED CONDUCT
Users and providers may not circumvent the platform, solicit or accept off-platform payments, misuse leads, misrepresent services, fail to complete work, submit false documentation, or share account access.
Violations may result in immediate suspension, permanent removal, financial penalties, recovery of legal fees and deduction from future payments.
12. BACKGROUND CHECKS
Providers consent to background checks conducted by third-party services.
PINCH does not guarantee the accuracy of background check results and assumes no liability for such information.
13. COLLECTION AND USE OF INFORMATION
PINCH collects and uses user data in accordance with its Privacy Policy.
This may include device information, usage data, and communications within the platform.
Users consent to such collection and use by accessing the platform.
14. DISPUTES AND QUALITY CONTROL
Clients must report issues within 48 hours of service completion.
PINCH may request documentation and determine resolution at its sole discretion.
Payments may be held until disputes are resolved.
15. CANCELLATION AND TERMINATION
PINCH may suspend or terminate access at any time with or without cause.
Violation of these Terms may result in immediate termination.
Users may lose access to services without notice.
16. PROVIDER STATUS AND INSURANCE
Providers are independent businesses.
Providers are required to carry their own insurance.
PINCH may provide additional coverage but does not assume full liability for provider actions.
17. RESERVATION OF RIGHTS
PINCH retains all rights, title, and interest in the platform, including all intellectual property.
Use of the platform does not grant ownership rights.
18. LIMITATION OF LIABILITY
PINCH is not liable for service quality, provider performance, indirect damages, or loss of revenue.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINCH IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
Use of the platform is at your own risk.
19. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless PINCH from any claims, damages, or expenses arising from your use of the platform or violation of these Terms.
20. SEVERABILITY
If any provision is found unenforceable, the remaining provisions remain in effect.
21. GOVERNING LAW
These Terms are governed by the laws of the State of South Carolina without regard to conflict of laws principles. .
Any and All disputes shall be resolved exclusively in the state or federal courts located in Charleston County, South Carolina.
22. ENTIRE AGREEMENT
These Terms and the Privacy Policy constitute the entire agreement between you and PINCH.
23. WAIVER
Failure to enforce any provision does not constitute a waiver of rights.
24. PLATFORM ACCESS AND AVAILABILITY
PINCH may modify, suspend, or discontinue any part of the platform at any time.
Access may be restricted without notice.
25. UPDATES
PINCH may update the platform and these Terms at any time.
Continued use constitutes acceptance of updates.
26. COMMUNICATIONS
By using the platform, you consent to receive communications including job alerts, operational messages, and marketing communications.
You may opt out of SMS by replying STOP.
27. NOTICES
Notices may be provided via email, platform notification, or mail to the address on file.
